IOLITE VISUALS - TERMS & CONDITIONS
1. COPYRIGHT NOTICE
In accordance with U.S. Copyright Law, all images, videos, and media produced by Iolite Visuals are and shall remain the exclusive intellectual property of Iolite Visuals. No copyright, ownership, or other proprietary rights are transferred to any client, agent, or third party unless expressly agreed to in a duly executed written instrument. For licensing inquiries or requests for expanded usage rights, please contact Iolite Visuals directly.

2. LICENSE GRANT AND RESTRICTIONS
Upon purchase of services and full payment, the Client (the original Agent, Homeowner, or Brokerage who booked the service) is granted a limited, non-transferable, non-exclusive license to use the delivered media.
- Permitted Use: You may use the media solely for the purpose of marketing the specific property depicted, and only for the duration that the property remains actively listed for sale or lease.
- Personal Marketing: As a courtesy, the Client may continue to use the photos for personal marketing and branding (e.g., "Just Sold" posts, personal website portfolio) indefinitely.
- Third-Party Use: The resale, sublicensing, transfer, or redistribution of the media to any third party (including builders, stagers, designers, sellers, or other agents) is STRICTLY PROHIBITED.
Upon purchase of services and full payment, the Client (the original Agent, Homeowner, or Brokerage who booked the service) is granted a limited, non-transferable, non-exclusive license to use the delivered media.
- Permitted Use: You may use the media solely for the purpose of marketing the specific property depicted, and only for the duration that the property remains actively listed for sale or lease.
- Personal Marketing: As a courtesy, the Client may continue to use the photos for personal marketing and branding (e.g., "Just Sold" posts, personal website portfolio) indefinitely.
- Third-Party Use: The resale, sublicensing, transfer, or redistribution of the media to any third party (including builders, stagers, designers, sellers, or other agents) is STRICTLY PROHIBITED.
3. PROHIBITED ACTS
- No Transfer: The original Client does not have authorization to sell, transfer, or give away any media to a new listing agent if the listing expires or is cancelled. New agents must purchase a new license from Iolite Visuals.
- Permitted Edits: The Client may crop, resize, and add their own branding, text, or logo to the media for marketing use.
- No Misrepresentation: The Client may not make alterations that misrepresent the property, including sky replacement, virtual staging presented as real, or the AI removal, addition, or alteration of any feature. AI lot or property transformation is prohibited. Any material edits of this kind must be performed by Iolite Visuals.
- Unauthorized Use: Any unauthorized use, alteration, or distribution constitutes a violation of this agreement and copyright infringement.
- No Transfer: The original Client does not have authorization to sell, transfer, or give away any media to a new listing agent if the listing expires or is cancelled. New agents must purchase a new license from Iolite Visuals.
- Permitted Edits: The Client may crop, resize, and add their own branding, text, or logo to the media for marketing use.
- No Misrepresentation: The Client may not make alterations that misrepresent the property, including sky replacement, virtual staging presented as real, or the AI removal, addition, or alteration of any feature. AI lot or property transformation is prohibited. Any material edits of this kind must be performed by Iolite Visuals.
- Unauthorized Use: Any unauthorized use, alteration, or distribution constitutes a violation of this agreement and copyright infringement.
4. PROPERTY READINESS & CLIENT EXPECTATIONS
- "Photo Ready" Standard: The Client is expected to have the property cleaned, staged, and decluttered PRIOR to the photographer's arrival.
- No Cleaning/Staging on Site: Iolite Visuals is not responsible for cleaning, moving furniture, or waiting for third-party vendors. If the property is not ready or cleaners are present upon arrival, the shoot may be cancelled or rescheduled at the photographer's discretion, subject to fees.
- Square Footage Accuracy: Pricing is based on the total square footage to be photographed, including ADUs, guest houses, and gym or studio space. Garages are not included unless the Client requests coverage of a detached garage. The Client is responsible for providing accurate square footage at the time of booking. If the actual square footage falls into a higher pricing tier than the one booked, the difference will be invoiced and is due before final media is released.
- "As Is" Condition: All properties are shot "As Is." For photography and standard video, absent specific input from the Client at the shoot, the Photographer will use best judgment regarding angles and composition. For scripted productions (Signature tier), creative planning incorporates Client input gathered prior to the shoot; final creative execution remains at the discretion of Iolite Visuals as described in Section 5.

- Creative Discretion: All editing, pacing, shot selection, music, and creative direction are the province of Iolite Visuals and form part of the finished product. The final edit is delivered as a complete creative work and is not subject to revision requests based on taste or preference.
- Corrections: Iolite Visuals will correct factual errors originating on our end at no charge, such as incorrect property details or footage of the wrong property.
- Client-Supplied Information: Branding details (names, brokerage, contact information, and spelling) are used exactly as provided by the Client at the time of booking. Revisions required due to inaccurate or incomplete information supplied by the Client may be subject to an additional editing fee.
- Music: Music is selected by Iolite Visuals to fit each property and is not subject to change requests.
- Creative Discretion: All editing, pacing, shot selection, music, and creative direction are the province of Iolite Visuals and form part of the finished product. The final edit is delivered as a complete creative work and is not subject to revision requests based on taste or preference.

6. CANCELLATION, RESCHEDULING & ACCESS FEES
- Cancellation Policy: Cancellations made less than 24 hours prior to the scheduled appointment are subject to a $50 cancellation fee.
- No Access / Not Ready: If the photographer arrives and the property is not accessible (no key, gate code missing, owner not home) or not photo-ready (active construction/cleaning), the appointment will be considered a "No-Show." The Client will be charged a $50 Cancellation Fee IN ADDITION TO the full amount of any Travel Fees associated with the booking.
- Weather: In the event of extreme weather, the fee may be waived at the photographer's discretion. However, rescheduling decisions should generally be made 24 hours in advance.
- Cancellation Policy: Cancellations made less than 24 hours prior to the scheduled appointment are subject to a $50 cancellation fee.
- No Access / Not Ready: If the photographer arrives and the property is not accessible (no key, gate code missing, owner not home) or not photo-ready (active construction/cleaning), the appointment will be considered a "No-Show." The Client will be charged a $50 Cancellation Fee IN ADDITION TO the full amount of any Travel Fees associated with the booking.
- Weather: In the event of extreme weather, the fee may be waived at the photographer's discretion. However, rescheduling decisions should generally be made 24 hours in advance.
7. DELIVERY & STORAGE
- Delivery Recipient: Media is delivered solely to the booking party. Iolite Visuals accepts delivery and usage instructions only from the booking party. Requests from homeowners, co-agents, or other third parties will be redirected to the booking party.
- Turnaround Time: Standard photos, floor plans, and 3D tours are typically delivered the next day. Shoots completed on a Saturday are delivered the following business day (Monday). Twilight and luxury photo packages may take 48 to 72 hours. Video turnaround varies by tier: Standard Video and Reels within 2 business days, Premium Video and Reels within 3 business days, and Signature Video and Reels within 7 business days. Bookings that include Day-to-Night Transitions require a separate twilight appointment and will extend the Signature delivery timeline.
- Backup & Storage: Iolite Visuals will maintain a backup of final media for 120 days after delivery. It is the Client's responsibility to download and back up their files immediately. After 120 days, availability is not guaranteed.

8. AERIAL/DRONE SERVICES
All drone operations are subject to FAA regulations and weather conditions.
- Airspace Authorization: If the property is in a restricted zone (e.g., near an airport), services are contingent upon receiving FAA clearance. If clearance is denied, the cost of the drone service will be credited to the Client's account for future use.
- Weather Safety: The pilot has the exclusive right to ground the drone if wind or weather conditions are unsafe. In such cases, the drone portion of the service will be rescheduled or credited to the Client's account.

- Payment Due: Full payment is required at the time of booking. Iolite Visuals may, at its sole discretion, extend pay-on-delivery terms to established clients in good standing. Final media is not released for download until payment is received in full.
- Payment Source: The Client is the party who books the shoot, regardless of who submits payment. A homeowner, property owner, or third party may pay on the Client's behalf without becoming the Client. Delivery and usage instructions continue to come solely from the booking party as described in Section 7.
- Service Area Minimums: Bookings located in South Orange County require a minimum of the Listing Photos Package (Photos + Drone) or a package of equal or greater value.
- Refund Exceptions: Refunds are ONLY issued if Iolite Visuals is unable to perform the service due to illness, emergency, or equipment failure.
- Account Credit Only: For all other scenarios (including weather cancellations, client rescheduling, or service removal), payments will be retained as Account Credit for future use.
- Late Payments & Account Status: Failure to pay invoices may result in the suspension of future services. Any pay-on-delivery terms extended to a Client may be revoked at any time at the discretion of Iolite Visuals.

10. RIGHT TO REFUSE SERVICE
